Meridian Intelligence LLC (“Meridian”, “we”, “us”, “our”)
1. Who we are and what these terms cover
Meridian Intelligence LLC is the provider of Meridian, an Execution Intelligence Platform for complex capital projects. These Terms of Service (“Terms”) form a binding agreement between you and Meridian and govern your use of:
- our website at meridianei.com and related pages (the “Site”); and
- the Meridian platform, applications and interfaces (the “Platform”), except to the extent a separate signed agreement with us applies.
By accessing the Site or Platform, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.
2. Eligibility
The Platform is intended for businesses and professional users. It is not directed to children and not intended for personal, household or consumer use. You must be able to form a binding contract to use it.
3. Accounts and authorised users
3.1 Access to the Platform requires an account. You are responsible for your account credentials and for all activity under your account.
3.2 You may permit your personnel, and your project vendors and other third parties, to access the Platform as “Authorised Users” within the scope you grant them (for example, free, scoped vendor portals). You are responsible for your Authorised Users’ compliance with these Terms and for the accuracy of the information they submit.
3.3 Notify us promptly at security@meridianei.com of any unauthorised use of your account.
4. Acceptable use
You agree to use the Site and Platform lawfully and responsibly. You must not misuse them, attempt to gain unauthorised access, interfere with their operation, reverse-engineer them (except as permitted by law), or use them to violate the rights of others or any applicable law.
5. Customer data and content
5.1 Your data is yours. As between you and Meridian, you retain all rights in the data, files and content you or your Authorised Users submit to the Platform (“Customer Data”). You grant Meridian a worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and support the Platform and as otherwise permitted in these Terms.
5.2 You are responsible for your data. You represent that you have the rights necessary to submit Customer Data and to permit its processing, and that it does not infringe third-party rights or violate law.
5.3 Derived and aggregated data. The Platform works by deriving metrics, forecasts, scores and analytics from Customer Data. As between the parties, Meridian owns the methods, models and the resulting derived outputs, and may create and use de-identified and aggregated data (data that does not identify you, your projects, your personnel or your vendors) to operate, secure, analyse and improve the Platform. We will not publish your raw Customer Data or identify you without your consent.
6. Intelligence outputs — important
The Platform produces decision-support outputs — including confidence scores, schedule and cash exposure, vendor risk rankings, recovery options and AI-generated narratives. These are estimates and aids to judgement, not guarantees. They depend on the accuracy and timeliness of the data entered. You remain solely responsible for your own decisions and actions, and you should apply professional judgement and your own verification before relying on any output. To the maximum extent permitted by law, Meridian is not liable for decisions made, or actions taken or not taken, in reliance on Platform outputs.
7. Intellectual property
7.1 Meridian and its licensors own all rights in the Site, the Platform, the underlying software, models and designs. Meridian, the Meridian logo, related branding and “Know Earlier. Act Faster.” are proprietary to Meridian Intelligence LLC. Except for the limited rights expressly granted, no rights are transferred to you.
7.2 If you submit feedback or suggestions, you grant Meridian a perpetual, royalty-free licence to use them without restriction.
8. Third-party services
The Platform may interoperate with third-party systems (for example, scheduling, ERP or document tools) at your direction. Your use of those services is governed by their terms, and we are not responsible for them.
9. Warranties and disclaimers
9.1 We will provide the Platform with reasonable skill and care.
9.2 Except as expressly stated, and to the maximum extent permitted by law, the Site and Platform are provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that outputs will be accurate, error-free or uninterrupted.
10. Limitation of liability
To the maximum extent permitted by law:
- Meridian will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to your use of the Site or Platform; and
- Meridian’s total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim, or USD 100 if you have not paid us.
Nothing in these Terms limits liability for fraud, wilful misconduct, or anything that cannot lawfully be excluded.
11. Indemnification
You will defend and indemnify Meridian against third-party claims arising from your Customer Data, or from your or your Authorised Users’ use of the services in breach of these Terms or applicable law.
12. Suspension and termination
12.1 We may suspend access where necessary to protect the security or integrity of the services, to comply with law, or for material breach (including non-payment), with notice where practicable.
12.2 Either party may terminate for uncured material breach. On termination, your right to use the services ends. We will make your Customer Data available for export for a reasonable period, after which we may delete it.
13. Changes to the services and to these Terms
We may update the Site, Platform and these Terms from time to time. For material changes to these Terms, we will take reasonable steps to notify you (for example, by posting a notice or updating the “Last Updated” date and, for customers, by email or in-product notice). Continued use after changes take effect constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the use of the Site or Platform shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, United States.
15. General
These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement on their subject matter. If any provision is unenforceable, the rest remains in effect. We may assign these Terms to an affiliate or in connection with a merger or sale; you may not assign without our consent. Failure to enforce a provision is not a waiver.
